Amwali AI Inc. Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Amwali AI Inc., a Delaware corporation ("Amwali", "we", "our", or "us"), and govern your use of amwali.ai and app.amwali.ai. By creating an account, clicking acceptance, or using the service, you agree to these Terms.
1) Service Scope and Eligibility
- You must be at least 18 years old and legally able to contract.
- If you use the service for a company, you represent you can bind that company.
- You must provide accurate account information and keep it updated.
- You are responsible for all activity under your account and for keeping credentials secure.
2) Financial and AI Output Disclosures (Important)
Amwali provides AI-powered insights and workflow tools for informational purposes only.
- Not financial, investment, legal, tax, or accounting advice.
- Not a recommendation, solicitation, broker-dealer, or fiduciary advisory service.
- Unless explicitly stated in a signed writing, Amwali is not acting as your investment adviser, broker, fiduciary, attorney, or tax professional.
- AI outputs may be inaccurate, incomplete, stale, biased, or fabricated ("hallucinations").
- You are solely responsible for independently validating outputs before making financial, legal, or business decisions.
You acknowledge that decisions and losses resulting from your use of, or reliance on, service outputs are your responsibility.
3) User Responsibilities
- You represent that you have all rights needed to upload files, statements, prompts, and other content.
- You must not submit unlawful content or data you are not permitted to process.
- You are responsible for implementing your own decision controls, approvals, and human review.
4) Credits, Billing, Taxes, and Refunds
- Paid features may be sold as credits and consumed based on usage.
- Credits are non-transferable, have no cash value, and are not bank/deposit products.
- Fees are due at purchase and are generally non-refundable unless required by law or expressly provided by Amwali in writing.
- We may correct crediting or billing errors and reverse fraud/abuse transactions.
- You are responsible for applicable taxes, duties, and government charges (other than taxes on Amwali income).
5) Acceptable Use
You must not:
- Use the service for unlawful, deceptive, or abusive conduct.
- Attempt unauthorized access, scraping, penetration testing, reverse engineering, or interference with service operations.
- Bypass abuse controls, security controls, authentication, or rate limits.
- Upload malware, harmful code, or content that violates third-party rights.
- Use the service in regulated or high-risk contexts without required licensing, supervision, and controls.
6) Third-Party Services
The service may rely on third-party providers (for example, payment, authentication, email, hosting, and AI processing providers). Your use of third-party services may also be governed by their terms and policies. Amwali is not responsible for third-party services outside our reasonable control.
7) Content, Input, and Output
- You retain your rights in content you submit to the service.
- You grant Amwali a worldwide, non-exclusive, royalty-free license to host, process, transmit, and transform your content as needed to operate, secure, comply with law, and improve the service.
- Subject to applicable law, you may use outputs generated for your account.
- Due to the nature of AI, outputs may not be unique and similar outputs may be generated for other users.
8) Availability, Changes, and Beta Features
The service is dynamic and may change over time. We may add, modify, or remove features, usage limits, and product packaging. Beta, preview, or experimental features may be more limited and may be changed or withdrawn at any time.
9) Suspension and Termination
We may suspend or terminate access if we reasonably believe there is a violation of these Terms, a security/legal risk, fraud/abuse, non-payment, or risk to users, Amwali, or third parties. You may stop using the service at any time.
10) Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RESULTS.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMWALI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMWALI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AMWALI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12) Indemnification
You agree to defend, indemnify, and hold harmless Amwali and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from or related to your content, your use of the service, your violation of these Terms, or your violation of applicable law or third-party rights.
13) Dispute Resolution; Arbitration; Class Waiver
Please contact us first at support@amwali.ai so we can try to resolve disputes informally.
- Except where prohibited by law, any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
- You and Amwali waive any right to a jury trial and any right to participate in a class action, class arbitration, consolidated action, or representative action.
- Either party may bring an individual claim in small claims court where jurisdictional requirements are met.
- If a court decides the class-action waiver is unenforceable for a particular claim, that claim must proceed in court and all other claims remain subject to arbitration.
14) Governing Law and Venue
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. For claims that are not subject to arbitration, exclusive venue is in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
15) No Personal Liability of Company Personnel
To the maximum extent permitted by law, no director, officer, employee, shareholder, contractor, or founder of Amwali will have personal liability under or in connection with these Terms or your use of the service. Any such claim must be brought only against Amwali AI Inc.
16) Miscellaneous
- We may update these Terms from time to time; material updates may require renewed acceptance before continued use.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Amwali may assign these Terms in connection with a merger, acquisition, reorganization, or asset sale.
- Our failure to enforce a provision is not a waiver of that provision.
- These Terms and any applicable signed agreement with Amwali are the entire agreement regarding the service.
